1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Manjiro.ai ("Company," "we," "our," or "us"), a U.S.-based provider, regarding your use of the Manjiro.ai platform ("Service")—a secure AI-powered offering for cross-cultural communication, including Japanese–English document and text translation and related features we make available from time to time.

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Core Service

Manjiro.ai provides AI-assisted translation and related tools for business documents and text, with particular strength in Japanese–English workflows. The Service is designed for organizations that need context-aware output, predictable usage-based pricing (where applicable), and secure handling of confidential materials. Specific file types, languages, and features may vary; see your Account and in-product documentation for what is enabled for your plan.

Service Features

• Document translation for common business formats (e.g. PowerPoint, Word, Excel) and plain text, where supported for your plan
• AI-assisted workflows that aim to preserve layout and formatting where technically feasible
• Japanese, English, and additional languages or variants when offered in the product
• Secure U.S.-based infrastructure and provider safeguards as described in our Privacy Policy
• Usage, credits, and billing visibility through your Account where available

Service Limitations

• Maximum file size, document counts, rate limits, and supported formats apply per plan and may change; see Pricing and your Account.
• Credit-based and invoiced plans: service may be unavailable when your balance is exhausted or your account is not in good standing until you add credits or resolve billing.
• Service availability is subject to maintenance, updates, and events outside our reasonable control.

3. Account Registration and Eligibility

Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. If you are accessing the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

You may register or sign in using third-party identity providers we support (such as Google or Microsoft). Your use of those providers is also subject to their terms and privacy policies.

Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You are liable for all activities that occur under your account
• We may suspend or terminate accounts that violate these Terms

4. Plans, Credits, and Billing

Current Plan Types

• Manjiro Business: Self-serve prepaid usage credits at the per-unit rates published on our site; you may top up credits through our payment provider (e.g. Stripe). Promotional or signup credits may apply as described on the site.
• Manjiro Enterprise: Postpaid or invoiced, subject to approval; governed by your order. May include usage-based charges and optional set-up or monthly integration fees (e.g. SSO, hosting) per your quote or agreement.
• Manjiro Premium: Full-service offering; available by inquiry and subject to separate commercial terms.

Payment Terms

• Fees are due as shown at purchase, in your Account, or on invoices. Taxes may apply based on your location and applicable law.
• Unless we state otherwise at checkout or in your agreement, purchases of credits or subscriptions may be non-refundable; subscription renewals follow the terms presented when you subscribe.
• We may change published list prices with reasonable advance notice; your existing prepaid balance or contract terms continue until used or expired as stated.

Insufficient Credits and Limits

If your usage credits are exhausted or you exceed plan limits (file size, document counts, rate limits, etc.), features may be unavailable until you purchase additional credits, upgrade, or the next billing or reset period applies. We may show usage and balance information in your Account.

5. Acceptable Use Policy

Permitted Use

• Business presentations and corporate communications
• Educational and academic materials
• Internal company documents and training materials
• Client-facing presentations and proposals

Prohibited Use

• Illegal, fraudulent, or harmful content
• Content that violates intellectual property rights
• Spam, phishing, or malicious content
• Personal data of individuals without consent
• Content that violates export control laws
• Reverse engineering or attempting to extract our AI models

Content Responsibility

You are solely responsible for the content you upload and translate. We do not review content for accuracy, legality, or appropriateness. You must ensure you have all necessary rights and permissions for any content you submit.

6. Intellectual Property Rights

Your Content

You retain all rights to your original content. By using our Service, you grant us a limited, non-exclusive license to process your content solely to operate and provide the Service (including translation and related features). This license terminates when your content is deleted from our systems in accordance with our Privacy Policy.

Our Service

The Manjiro.ai platform, including our AI models, algorithms, software, and documentation, are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Translation Output

You own the translated output generated by our Service. However, we retain no rights to this output and assume no responsibility for its accuracy, completeness, or fitness for any particular purpose.

7. Data Security and Privacy

Security Measures

• Encryption for data in transit and at rest, consistent with industry practice
• Access controls, least-privilege principles, and monitoring as described in our Privacy Policy
• Vendors and cloud regions subject to our agreements and security reviews

Data Processing

Manjiro.ai is a U.S.-based company. Processing may occur in the United States and other countries where we or our service providers operate, as explained in our Privacy Policy. All processing is governed by our Privacy Policy and applicable law.

8. Service Availability and Performance

Service Level

We strive to maintain 99.9% uptime for our Service, excluding scheduled maintenance windows. However, we do not guarantee uninterrupted access and may experience temporary outages for maintenance, updates, or unforeseen technical issues.

Translation Quality

Output is generated by AI systems and may contain errors. We do not guarantee accuracy, completeness, or fitness for a particular purpose. For high-stakes or regulated content, you should use human review and your own quality processes.

Support

• Manjiro Business: Support channels and response targets as described on the site or in your Account.
• Manjiro Enterprise / Premium: Per your agreement or order (e.g. named contacts, SLAs).

9. Limitation of Liability

Disclaimer of Warranties

We make no warranties regarding the accuracy, reliability, or completeness of translations. The Service is provided on an "as available" basis, and we disclaim all warranties, express or implied.

Limitation of Damages

Our total liability to you for any claims arising from the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim. This limitation applies to all theories of liability, including negligence, contract, or tort.

10. Termination

Termination by You

You may close your account or stop purchasing credits or subscriptions as described in your Account or checkout flows. For subscriptions, cancellation may take effect at the end of the current billing period unless stated otherwise. Prepaid credits may be subject to forfeiture or expiry as disclosed at purchase.

Termination by Us

We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason with 30 days notice for convenience terminations.

Effect of Termination

Upon termination, your access to the Service will cease, and all data will be deleted according to our retention policies. Provisions regarding liability, intellectual property, and governing law survive termination.

11. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware, United States.

Dispute Resolution

For business customers, we encourage good faith efforts to resolve disputes through negotiation. For consumer customers in jurisdictions with mandatory arbitration exemptions, those provisions shall apply.

12. Changes to Terms

We may modify these Terms from time to time. We will provide at least 30 days notice of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
