1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Manjiro.ai ("Company," "we," "our," or "us") regarding your use of the Manjiro.ai platform ("Service"), our enterprise-grade Translator AI specializing in Japanese business communications.

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Core Service

Manjiro.ai provides Translator AI for Microsoft PowerPoint presentations, with specialized expertise in Japanese-English business communications. Our service is designed for enterprise customers requiring high-quality, context-aware translations that maintain professional formatting and cultural appropriateness.

Service Features

• Support for Japanese, English, and other major business languages
• Enterprise-grade security with zero file retention policy

Service Limitations

• Maximum file size varies by plan: 10MB (Ronin), 50MB (Samurai), 500MB (Shogun)
• Supported format: .pptx files only
• Monthly usage limits based on subscription plan
• Service availability subject to maintenance windows and updates

3. Account Registration and Eligibility

Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. If you are accessing the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You are liable for all activities that occur under your account
• We may suspend or terminate accounts that violate these Terms

4. Subscription Plans and Billing

Subscription Tiers

• Ronin (Free): 100,000 characters per month, 3 documents per month, up to 5MB per file
• Samurai (Professional): $8.99/month, 5,000,000 characters per month, 5 documents per month, up to 10MB per file
• Shogun (Enterprise): $57.99/month, 100,000,000 characters per month, 100 documents per month, up to 30MB per file

Payment Terms

• All fees are non-refundable unless otherwise stated
• Automatic renewal unless canceled before the next billing cycle
• Price changes with 30 days advance notice
• Taxes may apply based on your location

Usage Overage

If you exceed your monthly character limit, service may be temporarily suspended until the next billing cycle or you upgrade to a higher plan. We will provide advance warnings as you approach your limits.

5. Acceptable Use Policy

Permitted Use

• Business presentations and corporate communications
• Educational and academic materials
• Internal company documents and training materials
• Client-facing presentations and proposals

Prohibited Use

• Illegal, fraudulent, or harmful content
• Content that violates intellectual property rights
• Spam, phishing, or malicious content
• Personal data of individuals without consent
• Content that violates export control laws
• Reverse engineering or attempting to extract our AI models

Content Responsibility

You are solely responsible for the content you upload and translate. We do not review content for accuracy, legality, or appropriateness. You must ensure you have all necessary rights and permissions for any content you submit.

6. Intellectual Property Rights

Your Content

You retain all rights to your original content. By using our Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing Translator AI services. This license terminates when your content is deleted from our systems.

Our Service

The Manjiro.ai platform, including our AI models, algorithms, software, and documentation, are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Translation Output

You own the translated output generated by our Service. However, we retain no rights to this output and assume no responsibility for its accuracy, completeness, or fitness for any particular purpose.

7. Data Security and Privacy

Security Measures

• End-to-end encryption for all data transfers
• SOC 2 Type II compliant infrastructure
• Regular security audits and penetration testing
• Access controls and audit logging

Data Processing

Translation processing occurs in secure data centers located in Japan and the United States, ensuring compliance with both Japanese and international data protection standards. All processing is governed by our Privacy Policy and applicable data protection regulations.

8. Service Availability and Performance

Service Level

We strive to maintain 99.9% uptime for our Service, excluding scheduled maintenance windows. However, we do not guarantee uninterrupted access and may experience temporary outages for maintenance, updates, or unforeseen technical issues.

Translation Quality

While our AI is trained on extensive Japanese business communications and provides high-quality translations, we do not guarantee perfect accuracy. We recommend professional review for critical business documents.

9. Limitation of Liability

Disclaimer of Warranties

We make no warranties regarding the accuracy, reliability, or completeness of translations. The Service is provided on an "as available" basis, and we disclaim all warranties, express or implied.

Limitation of Damages

Our total liability to you for any claims arising from the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim. This limitation applies to all theories of liability, including negligence, contract, or tort.

10. Termination

Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. No refunds will be provided for unused time.

Termination by Us

We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason with 30 days notice for convenience terminations.

Effect of Termination

Upon termination, your access to the Service will cease, and all data will be deleted according to our retention policies. Provisions regarding liability, intellectual property, and governing law survive termination.

11. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware, United States.

Dispute Resolution

For business customers, we encourage good faith efforts to resolve disputes through negotiation. For consumer customers in jurisdictions with mandatory arbitration exemptions, those provisions shall apply.

12. Changes to Terms

We may modify these Terms from time to time. We will provide at least 30 days notice of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
